Victorian TAFE Institutes operate under a structure of autonomous governance, whereby each TAFE is overseen by a Board of Directors.
TAFE Boards are ultimately responsible to the Victorian Minister for Training and Skills.
Board members comprise 9 to 15 persons. More than one half of the Board members are appointed directly by the Minister. The remaining Board members are 'board nominee directors' appointed by the Minister. Board members are persons with knowledge of industry and community training needs. Board members are also appointed on the basis of governance skills related to management, finance, commerce or business law, corporate governance, vocational education and training, adult community and further education, industry and higher education.

TAFE institute constitutions are prepared under section 3.1.11 of the Education and Training Reform Act 2006 on the recommendation of the Minister. Each TAFE institute Constitution includes provisions regarding governance arrangements and the objectives, functions and powers of an institute.
